Terms of Service

These terms are a working draft provided for transparency. They should be reviewed by qualified legal counsel before relying on them for large-scale commercial use.

1. Acceptance of terms

By creating an account, generating an API key, or using AsherCore (the "Service"), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these terms.

2. The service

AsherCore provides a market-data API delivering OHLCV candles, prices, funding rates, order-book data and instrument metadata for crypto, equities and foreign-exchange markets. The Service is provided on an "as available" basis. We may add, change or remove endpoints, data fields or coverage at any time. AsherCore is not a broker, exchange, custodian, or investment adviser and does not execute trades or hold funds.

3. Accounts & API keys

You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity that occurs under them. API keys are secrets — do not expose them in public client-side code or repositories. You must provide accurate information, be at least the age of majority in your jurisdiction, and promptly notify us of any unauthorized use. You may rotate or revoke a key at any time; you are responsible for usage until a key is revoked.

4. Plans, billing & cancellation

Sandbox plan. The free tier is available at no cost and is subject to the published usage limits.
Paid plans. Paid subscriptions (Starter, Growth, Scale and any Enterprise agreement) are billed in advance on a recurring monthly basis through our payment processor. Prices are shown at checkout and may change with notice.
Renewal & cancellation. Subscriptions renew automatically until cancelled. You may cancel at any time from your account; access continues until the end of the current billing period.
Overages. If you exceed your plan's monthly quota or rate limit, requests may be throttled or rejected until the next cycle, or you may be prompted to upgrade. We do not silently bill overages without notice.
Refunds. Except where required by law, payments are non-refundable. We may, at our discretion, offer prorated credits.
Taxes. Prices exclude applicable taxes, which may be added at checkout.

During early access, some plans may be waitlisted and billing may not yet be enabled; the Sandbox plan is available immediately.

5. Usage limits & fair use

Each plan carries a monthly call quota and a per-second rate limit, published on our pricing page and returned in response headers. You agree not to circumvent these limits — for example by rotating keys, distributing calls across multiple accounts to evade quotas, or scraping at abusive rates. We may throttle, suspend, or require an upgrade for usage that materially exceeds a plan's intended scope or that threatens platform stability.

6. Data license & restrictions

Subject to these terms and your active plan, we grant you a limited, non-exclusive, revocable, non-transferable license to access the data through the API and to use it within your own applications and internal analysis. You may not: (a) resell, redistribute, or sublicense the raw data or a substantial portion of it as a standalone data feed or dataset; (b) create a product whose primary purpose is to redistribute AsherCore data; or (c) remove or obscure provenance where we provide it. Displaying data derived from the Service within your own application to your own users is permitted. Bulk redistribution rights require a separate written agreement.

7. Acceptable use

You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) attempt to disrupt, overload, or gain unauthorized access to the Service or its infrastructure; (c) reverse-engineer the Service other than as permitted by law; (d) use the Service to build a competing market-data redistribution product; or (e) misrepresent the source of the data.

8. Market data & no financial advice

Market data is provided for informational purposes only, "as is" and "as available", and may be delayed, incomplete, or inaccurate. Nothing delivered through AsherCore constitutes financial, investment, tax or legal advice, a recommendation, or an offer or solicitation to buy or sell any asset. Trading involves substantial risk of loss. You are solely responsible for your own decisions and for validating data before relying on it, and should consult a licensed professional.

9. Intellectual property

The Service, including the AsherCore name, logo, API design, software, and infrastructure, is owned by AsherCore and its licensors and is protected by intellectual-property laws. Except for the limited data license above, no rights are granted to you. You retain ownership of the applications you build using the Service.

10. Disclaimers & limitation of liability

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASHERCORE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM.

11. Termination

We may suspend or terminate your access if you breach these terms or use the Service in a way that risks harm to us or others. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including data-license restrictions, IP, disclaimers, and limitation of liability) will survive.

12. Changes to these terms

We may update these terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
